Terms of Service

1. Who you are agreeing with
These Terms form a contract between you ("Customer", "you") and A Mackay (Publisher) Ltd, a private limited company registered in Scotland under company number SC858624, trading as Grid Social ("Grid Social", "we", "us"). Registered office: 87 Knightscliffe Avenue, Glasgow, G13 2RX, United Kingdom.
By buying any Grid Social product, signing up for any Grid Social subscription, or using any Grid Social service, you agree to these Terms. If you do not agree, do not use the service.
2. The services we provide
Grid Social provides:
- The Grid Social autoposter SaaS — a web app that schedules and publishes content to your connected Facebook Pages, Instagram accounts, LinkedIn, TikTok, Pinterest and Google Business Profile
- Agency-managed social media services — done-for-you content creation and posting on the plans listed below
- The £97 one-time audit — a one-shot social media audit delivered as a PDF and recorded loom
3. Pricing
Auto-Poster (self-serve SaaS)
- Starter — £15 per month
- Agency — £59 per month
- Agency Pro — £119 per month
Agency Services (done-for-you)
- Starter — £249 per month
- Growth — £449 per month
- Full Service — £749 per month
One-time
- Facebook + Instagram Audit — £97 one-time fee
All prices are in pounds sterling (GBP). [REVIEW BY GUS — confirm whether A Mackay (Publisher) Ltd is currently VAT-registered. If yes, prices are exclusive of VAT charged at the prevailing rate; if not, state "VAT not applicable — A Mackay (Publisher) Ltd is below the VAT threshold."]
We may change prices for new customers at any time. For existing subscribers, we will give at least 30 days' written notice (by email) before any price change takes effect.
4. Payment
Subscriptions are billed monthly in advance via Stripe Payments UK Ltd. The £97 audit is charged in full at point of order. We do not store your card details — Stripe holds them under their own PCI-DSS compliance.
If a payment fails, we will retry over 7 days. If still unpaid, we will suspend service until payment resumes. Persistent non-payment may result in cancellation under clause 9.
5. Refunds and cancellation
5.1 Subscriptions
You can cancel any subscription at any time from your dashboard. Cancellation takes effect at the end of the current paid month — there is no pro-rata refund of the unused portion of a paid period. We will not bill you again after cancellation.
5.2 The £97 audit
Because the audit is a digital service performed by a human within 24 hours of order, by purchasing you give your express consent for service to begin immediately and acknowledge that you lose the statutory right of cancellation under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 once the service is fully performed.
That said, in practice we apply common sense:
- If you change your mind before we have started work, we refund in full, no questions.
- If we have delivered the audit PDF and loom, the £97 is non-refundable.
- If we are clearly at fault (wrong business audited, file unreadable, factual errors we cannot reasonably defend) we either re-do the audit at no charge or refund in full at your option.
5.3 Statutory rights preserved
Nothing in this clause affects your statutory rights as a consumer under the Consumer Rights Act 2015 or other applicable UK consumer protection law.
6. Your responsibilities
You must:
- Provide accurate account and billing information
- Only connect social media accounts you are authorised to manage
- Comply with the terms of every connected platform (Meta Platform Terms, Instagram Community Guidelines, etc.)
- Not use Grid Social to publish unlawful, defamatory, hateful, infringing, or sexually explicit content, or content that violates a connected platform's policies
- Not attempt to circumvent rate limits, security controls, or access controls
- Not resell, sub-license or white-label Grid Social services without our written agreement
We may suspend or terminate your access if you breach this clause.
7. Our responsibilities
We will:
- Use reasonable skill and care to deliver the service
- Maintain reasonable uptime — we target 99% per calendar month, measured against published Netlify and Supabase status. We do not promise zero downtime.
- Keep your data secure as set out in our Privacy Policy
- Respond to support emails within 2 working days during UK business hours
8. Intellectual property
You own the content you create and the audit PDFs and looms we deliver to you. We grant you a worldwide, royalty-free licence to use them for your own business purposes.
We retain ownership of the Grid Social platform itself, including the autoposter software, the audit framework, our brand, and any aggregated, anonymised analytics derived from usage of the service.
9. Suspension and termination
Either side may end the contract:
- You — cancel any time from your dashboard, taking effect at end of current paid period
- Us — for non-payment, breach of clause 6, or if we discontinue a product (in which case we give 30 days' notice and pro-rata refund the unused portion)
On termination, we will delete your data within 30 days except where law requires us to retain it (see Privacy Policy §4).
10. Liability
We do not exclude or limit liability that cannot be excluded by law, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be lawfully excluded under the Unfair Contract Terms Act 1977 or the Consumer Rights Act 2015.
Subject to that, our aggregate liability to you arising out of or in connection with the service in any 12-month period is capped at the total amount you paid us in that 12-month period.
We are not liable for:
- Loss of profits, revenue, business or goodwill
- Loss or corruption of data beyond our reasonable control
- Outages or content-publishing failures caused by third-party platforms (Meta, Google, LinkedIn, TikTok, Pinterest) taking action on your account, changing their APIs, or being unavailable
- Any loss that was not reasonably foreseeable at the time you bought the service
11. Force majeure
Neither party is liable for failure or delay caused by events outside its reasonable control, including acts of God, war, terrorism, civil unrest, pandemic, government action, telecommunications failure, third-party platform outages, or industrial action. The affected party will notify the other and resume performance as soon as reasonably possible.
12. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified to existing customers by email at least 30 days before they take effect. Minor wording or clarification changes (typos, formatting, restating existing law) are made silently. The current version is always the version at this URL.
If you do not agree to a material change, you may cancel before it takes effect and we will refund any prepaid amount for the period after cancellation.
13. Governing law and disputes
These Terms and any dispute arising out of or in connection with them are governed by the law of Scotland. The courts of Scotland have exclusive jurisdiction, except that consumers in England, Wales or Northern Ireland may also bring proceedings in the courts of their home jurisdiction.
Before going to court, please email hello@gridsocial.co.uk — most disputes are resolved this way within a few days.

14. General
- Entire agreement: these Terms, the Privacy Policy, and any plan-specific order form are the entire agreement between you and us.
- Severability: if any clause is unenforceable, the rest remains in force.
- No waiver: if we don't enforce a right, that's not a waiver of that right.
- Assignment: we may transfer these Terms to a successor company on the same terms with notice to you.
- No third-party rights: a person who is not a party to these Terms has no right under the Contract (Third Party Rights) (Scotland) Act 2017 to enforce any term.
